Terms of Service

These terms govern your use of Cadence, a marketing platform provided by Marketing & Technology (16663885 Canada Inc.), Hamilton, Ontario, Canada (“we”, “us”). By creating an account or using Cadence you agree to them.

What Cadence does

Cadence plans, drafts, schedules, publishes and measures marketing for your business across your website, social accounts and email, and reports on your advertising. You connect the accounts you want it to work with, and you remain their owner.

Approval

Nothing is published without a person from your business approving it. This is a feature of the product, not a setting, and we will not remove it. You are responsible for what you approve.

Advertising accounts are read-only

Where you connect an advertising account, Cadence reads it in order to report and recommend. It does not create, change or pause campaigns and it does not spend your budget. Any change to a campaign is made by a person, by you or with your instruction.

Your accounts and your content

You keep ownership of your business information and of everything Cadence produces for you and you approve. You grant us the permission needed to store it and to publish it to the accounts you have connected, for as long as you use the service.

You are responsible for having the right to use the material you supply, and for the accuracy of the claims you approve. You must not use Cadence to publish unlawful, deceptive or infringing material, or anything that breaks the rules of a connected platform.

Connected platforms

Facebook, Instagram, LinkedIn, Google and the other platforms you connect are independent services with their own terms, and your use of them remains subject to those terms. A platform can change or withdraw its access at any time; where that stops a Cadence feature working we will tell you rather than fail quietly.

Payment

Subscriptions are billed in advance, monthly or annually, through our payment processor. Fees are exclusive of applicable taxes. You may cancel at any time and your subscription runs to the end of the period you have paid for; we do not refund part-periods unless the law requires it.

Ending the service

You may close your account at any time. We may suspend or close an account that breaks these terms, or that puts a connected platform’s access at risk, and we will tell you why. When an account ends, content already published to your own website and social accounts stays where it is — it is yours.

Availability

We work to keep Cadence available and correct, and we tell you when something did not run rather than reporting success. We do not promise uninterrupted service, and we are not responsible for outages at the platforms you have connected.

Liability

To the extent the law allows, our total liability arising from the service is limited to the fees you paid us in the twelve months before the claim, and we are not liable for indirect or consequential loss. Nothing in these terms limits liability that cannot be limited by law.

Changes

We may update these terms. Where a change is material we will tell account holders by email before it takes effect.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, and the courts of Ontario have jurisdiction.
